Agreements

Subscribing to each service (Capping/SIRT and Containment Toolkit)

To gain access to this service each subscriber must:

  • Be a member of OSRL
  • Sign a standard Supplementary Agreement:
    • Subscribing members have access to the service as per the terms of OSRL membership and the Supplementary Agreement.
  • Pay an Entry Fee
  • Nominate all qualifying wells to OSRL on an annual basis
  • Pay an Annual Fee
    • The Annual Fee structure is calculated on a per well basis.
    • The per well fee is calculated from OSRL's total annual costs for the service divided by the total number of qualifying wells

NB Where the member is a combined subscriber of both Capping & Containment and has provided a forecast of Qualifying Wells for Capping, then that forecast shall also be deemed to be the forecast required for Containment.

If your company is a member of OSRL, all our exploration, development and production wells are automatically covered by the agreement. True or false?
Answer: False, In order to be covered by the agreement, exploration and development wells must be nominated in advance. However, cover is automatically provided for producing wells which satisfy the qualifying criteria.

Well nomination summary:
A forecast of the following year's wells is required to be made to OSRL mid-year with firm nomination required by year-end

  • Wells which must be nominated:
    • All exploration, appraisal and development wells, where: water depth is no more than 3000m, wellhead system pressure rating is no more than 15k PSI, and expected well fluid conditions are within specification limits.
  • Wells which do not need to be nominated, but cover is provided for permanent members:
    • Producing wells, where: water depth is no more than 3000m and the wellhead system is no more than 15k PSI

NB Where the member is a combined subscriber of both Capping & Containment and has provided a forecast of Qualifying Wells for Capping, then that forecast shall also be deemed to be the forecast required for Containment.


Key Principles of Ownership and Use of the Equipment
Please note that this is a summary of some of the key obligations outlined in the Supplementary Agreements. If you require a full list of obligations, as well as liabilities and indemnities, you should refer to your own Supplementary Agreement.

Equipment included in the SWIS Supplementary Agreements is owned, maintained and held a response ready state by OSRL for the exclusive use by OSRL members who have signed the necessary Supplementary Agreement.
In outline, the obligations of OSRL and the member are as follows:

Storage
Store the equipment at the stated locations (see the Locations section in the Introduction Module) and subject to availability, make it available to OSRL members who have signed the relevant Supplementary Agreement.
Maintenance
Carry out routine maintenance, testing and certification of the equipment in accordance with the manufacturer's guidelines.
Inspection
Allow the equipment to be inspected by a suitably qualified third party at least once every two years.
Manuals
Make all operation manuals in the possession of OSRL available to SWIS subscribers in electronic format.
Mobilisation
Mobilise the equipment from the storage location to the nominated departure sea port/airport in the country of storage on behalf of the well operator (at the cost and risk of the well operator and dependant on the equipment's logistical parameters).
STAF
Coordinate a Subscriber Technical Advisory Forum (STAF) to advise on technical matters relating to the equipment of each service, including any changes or upgrades made to the equipment.

Obligations of the Subscribers and Well Operators

Compatibility
Ensure that the equipment is compatible and supply any adapters where necessary.
Protection
Take all reasonable steps necessary to protect and preserve the equipment.
STAF
Nominate an appropriately qualified representative from its organisation to be a member of the Subscriber Technical Advisory Forum (STAF).
Unloading
Be responsible for arranging, managing and paying for the unloading of the deployed equipment from its transporting trailer on its arrival at the nominated departure sea port/ air port and for all subsequent transportation, mobilisation and demobilisation costs.
Care
Direct and control all activity involving the use or care of the deployed equipment, whether this be response activity, training or drills or any other use of the deployed equipment.
Mobilisation
Pay for the cost of the mobilisation of the deployed equipment from the storage location to the nominated departure sea port/ air port.
Responsibility
Accept responsibility for all risk of damage to the equipment upon leaving the storage location until its return to the storage location.
Pay duties
Pay all export and import duties arising out of the export of the deployed equipment from the jurisdiction of the storage location to the jurisdiction of the site required by the Well Operator and the re-import of the deployed equipment.
